IMPORTANT — PLEASE READ CAREFULLY: These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "User", "you") and JDN Corporate Tech India LLP, a Limited Liability Partnership registered under the LLP Act 2008, having its registered office at 107 A, B-9, ITL Twin Tower, Netaji Subhash Place, New Delhi – 110034 ("JDN", "Company", "we", "us", "our"). By accessing our website, using our services, or executing any service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
Section 1
1 Acceptance of Terms
By accessing or using the website located at www.jdntechindia.com or by engaging JDN Corporate Tech India LLP for any service, you confirm that:
- You are at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872.
- You have authority to bind the entity or organisation on whose behalf you are acting.
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
- You agree to comply with all applicable laws and regulations of India.
If you do not agree:If you do not agree to these Terms in their entirety, you must immediately discontinue using our website and services. Your continued use of our services constitutes ongoing acceptance of these Terms.

2 Services Offered
JDN Corporate Tech India LLP provides consultancy, facilitation, and technology services across two primary categories:

Nature of Service:JDN acts as a facilitator and consultant for government licensing and regulatory matters. We are not a government body and do not guarantee specific outcomes of applications submitted to government departments. Processing timelines and approvals are at the sole discretion of the relevant government authorities.
The specific scope, deliverables, timelines, and fees for each engagement shall be set out in a separate Service Agreement, Proposal, or Invoice provided to you prior to commencement of work.
Section 3
3 Client Obligations
As a client of JDN Corporate Tech India LLP, you agree to the following obligations:
- Accurate Information: Provide complete, accurate, and truthful information, documents, and data required for the services. Any delay or failure caused by incorrect or incomplete information is your sole responsibility.
- Timely Cooperation: Respond promptly to queries, requests for documents, approvals, or clarifications from our team within the timelines communicated. Delays in your response may affect service timelines.
- Legal Compliance: Ensure that your business, activities, and the information you provide comply with all applicable laws, rules, and regulations of India.
- Payment Obligations: Pay all fees as agreed upon in the service proposal or invoice within the stipulated due dates.
- Authorisation: Provide necessary Power of Attorney, authorisation letters, or digital signatures where required for making applications on your behalf.
- Notification of Changes: Promptly notify us of any changes in your business details, directors, address, or other relevant information that may affect ongoing services.
Section 4
4 Fees, Payments & Refunds
All fees for our services are as specified in the Service Agreement, Quotation, or Invoice issued to you. The following payment terms apply:
- Advance Payment: Most services require an advance payment of 50%–100% of the agreed fee before work commences. The exact amount is specified in the proposal.
- Government Fees: Statutory fees payable to government departments, regulatory bodies, or third-party agencies are charged separately at actuals and are non-refundable once paid.
- Payment Methods: Payments can be made via NEFT, RTGS, UPI, Bank Transfer, or such other methods as mutually agreed. All payments must be made in Indian Rupees (INR) unless otherwise specified.
- Taxes: All fees are exclusive of applicable Goods and Services Tax (GST) at 18% unless specifically stated otherwise. GST will be added to all invoices as per applicable law.
- Late Payments: Overdue amounts attract interest at the rate of 18% per annum from the due date until full payment. JDN reserves the right to suspend services on non-payment.
Refund Policy:Refunds are governed by our separate Refund Policy. In general, professional fees once paid are non-refundable after work has commenced. Government fees paid to regulatory bodies are strictly non-refundable. Please review our Refund Policy before engaging our services.
Section 5
5 Intellectual Property Rights
All intellectual property created in the course of service delivery is addressed as follows:
- Website & App Deliverables: Upon full and final payment of all fees, ownership of the final deliverable (website, mobile app, e-commerce store) is transferred to the client. All source code, designs, and assets created specifically for you become your property post-payment.
- Pre-existing IP: All frameworks, libraries, tools, methods, workflows, templates, and processes used by JDN that pre-date your engagement remain the sole property of JDN Corporate Tech India LLP and are licensed to you on a non-exclusive basis.
- Website Content: All content visible on our website jdntechindia.com, including text, images, graphics, logos, and service descriptions, is the exclusive property of JDN and may not be copied, reproduced, or used without prior written permission.
- Client Content: You retain all rights to the content, data, and materials you provide to us. You grant JDN a limited licence to use such materials solely for the purpose of delivering the agreed services.
Portfolio Usage:JDN reserves the right to include completed web projects in our portfolio and marketing materials unless you specifically request in writing that your project remain confidential prior to commencement.
Section 6
6 Confidentiality
Both parties agree to maintain the confidentiality of information shared during the engagement:
- JDN will not disclose your confidential business information, financial details, or personal data to any third party except as required for service delivery (e.g., filing with government authorities) or as required by law.
- You agree to keep confidential all proprietary methodologies, processes, pricing structures, and internal communications of JDN.
- Confidentiality obligations survive termination of the service agreement for a period of 3 (three) years.
Data Protection:The collection, storage, and use of personal data is governed by our separate Privacy Policy, which forms part of these Terms and Conditions. We comply with applicable Indian data protection laws.
Section 7
7 Disclaimer of Warranties
JDN Corporate Tech India LLP provides services on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Guarantees regarding the approval of any government licence, certificate, or registration. Outcomes of applications are at the sole discretion of the relevant government authorities.
- Warranties that any specific search engine ranking, traffic level, or digital marketing result will be achieved within a given timeframe.
- Uninterrupted, error-free, or completely secure operation of any website or application developed by us.
- That information on our website is always current, complete, or accurate. We reserve the right to update or modify website content at any time.
Section 8
8 Limitation of Liability
To the maximum extent permitted by applicable law, JDN Corporate Tech India LLP, its partners, employees, agents, and affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our services.
- Loss of profits, revenue, data, goodwill, business opportunity, or other economic advantages.
- Delays, rejections, or modifications to government licence applications by regulatory authorities, regardless of reason.
- Any damages resulting from force majeure events including government actions, natural disasters, strikes, system failures, or changes in law.
- Errors, omissions, or inaccuracies arising from incorrect information or documents provided by the client.
Maximum Liability Cap:In all cases where JDN is found liable, our total cumulative liability to you for any and all claims shall not exceed the total professional fees paid by you to JDN in the three (3) months immediately preceding the event giving rise to the claim, excluding government fees and third-party charges paid on your behalf.
Section 9
9 Prohibited Conduct
You agree not to engage in any of the following while using our website or services:
- Providing false, misleading, fraudulent, or fabricated documents or information for any government licence or compliance application.
- Using our services for any unlawful, illegal, or fraudulent purpose under Indian law.
- Attempting to gain unauthorised access to our systems, databases, or networks.
- Reproducing, copying, distributing, or selling any content from our website without prior written permission.
- Uploading malware, viruses, or any malicious code through our website or communication channels.
- Harassing, threatening, or abusing our staff, consultants, or representatives in any manner.
- Engaging in any activity that may bring JDN into disrepute or adversely affect our reputation.
Any violation of this section shall entitle JDN to immediately terminate all services and pursue legal remedies as available under Indian law.

10 Third-Party Links & Services
Our website may contain links to third-party websites, portals, or government websites for your convenience. JDN Corporate Tech India LLP:
- Does not endorse, control, or take responsibility for the content, privacy practices, or accuracy of any third-party website.
- Is not liable for any loss or damage resulting from your use of third-party websites, including government portals.
- May use third-party service providers (payment gateways, hosting, cloud services) to deliver our services. Such providers are bound by their own terms and privacy policies.
Section 11
11 Termination of Services
Either party may terminate a service engagement under the following conditions:
- By Client: You may terminate services by providing 15 days' written notice to JDN. Fees for work already completed or committed are non-refundable. Government fees and third-party charges already incurred are non-refundable under all circumstances.
- By JDN for Cause: JDN may immediately terminate services upon: (a) non-payment of fees after due notice; (b) provision of false or fraudulent information; (c) breach of these Terms; or (d) conduct that violates applicable laws.
- Effect of Termination: Upon termination, all outstanding fees become immediately due. JDN will hand over all completed work and client-provided documents within a reasonable time. Confidentiality and IP provisions survive termination.

12 Indemnification
You agree to indemnify, defend, and hold harmless JDN Corporate Tech India LLP and its partners, officers, employees, consultants, and agents from and against any and all claims, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of any of these Terms and Conditions.
- Your provision of false, misleading, or fraudulent information or documents.
- Your violation of any applicable law, regulation, or government order.
- Any claim by a third party arising from your use of our services or deliverables.
- Any infringement of intellectual property rights caused by content or materials you provided to JDN.
Section 13
13 Governing Law & Dispute Resolution
These Terms and Conditions, and any disputes arising from or in connection with them, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Dispute Resolution Process:
In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator mutually appointed by both parties. The seat of arbitration shall be New Delhi. The language of arbitration shall be English.
Nothing in this clause prevents either party from seeking urgent interim relief from the Courts at New Delhi, which shall have exclusive jurisdiction over all matters.

14 Amendments to These Terms
JDN Corporate Tech India LLP reserves the right to revise, update, or modify these Terms and Conditions at any time without prior notice. Changes will be effective immediately upon publication on our website.
- It is your responsibility to review these Terms periodically for any changes.
- Your continued use of our services following the posting of any changes constitutes your acceptance of such changes.
- For material changes affecting ongoing service engagements, we will endeavour to provide reasonable advance notice via email.
The date at the top of this page (“Last Updated”) indicates when these Terms were last revised.
